Terms and Conditions

These terms and conditions apply to work performed by all Divisions and Subsidiaries of Digital Pipe Inc ("Seller"). If Buyer's order form is used for acceptance of this offer, it is expressly understood and agreed that the terms and conditions of such order form shall not apply unless agreed to in writing by the Seller. No additional or inconsistent terms will be binding upon seller unless agreed to in writing.

Quotations: Quotations expire thirty (30) days from quote date or by the term set by the manufacturer and are subject to cancellation or modifications by written notice within that period. Clerical, estimating or other errors are subject to correction at any time, by written notice to Buyer.

Prices and Terms of Payment: If shipment of goods to Seller or completion of service extends beyond ninety (90) days from the date of order due to causes beyond Seller's reasonable control, then the prices will be adjusted to those in effect at the time of such shipment or completion.

Payment is due in accordance with invoice terms. For partial shipments, pro-rata payments are due as partial shipments are made and invoices received. Under no circumstances, shall any invoice or percentage thereof be withheld as a retainer or other set-off against Buyer's obligation to Seller, without Seller's prior written consent. All past due payments are subject to a monthly service charge of the highest amount legally allowed in this State, but not to exceed 10% per month or a $29.00 fixed rate fee, and Buyer agrees to promptly pay said service charge. At the discretion of Seller, up to three (3) late fees can be waived over a calendar year as a courtesy to Buyer. Buyer shall pay all collection costs including reasonable attorneys' fees.

If at any time, Seller believes payment is at risk due to Buyer's financial conditions then Seller may, suspend work on current orders, and/or withhold shipment of completed equipment, and require full payment of all amounts in arrears, plus full or partial payment in advance for work in process or as a condition to delivery. In the event of such suspension of work or withholding of shipment, Seller shall be held harmless from any and all losses, damages, expenses, fees, costs, fines, or penalties whatsoever which may result to any person or entity due to any delays and damages occasioned thereby. Seller shall retain a security interest in all equipment, parts, and accessories until all services and other charges due Seller are fully paid for by Buyer.

Services provided to Buyer by Seller will incur a minimum charge of one (1) hour when work is being performed onsite at Buyers facilities, otherwise the rate will be billed in quarter hour increments. Additionally, work performed by Seller outside of normal operating hours will be charged at a one and a half (1.5x) hourly rate, and work on holidays will be billed at double (2x) the hourly rate.

Taxes: Quoted prices may exclude Sales, Use, or other taxes or charges payable to any governmental authority. Any tax or other charge now or hereafter imposed with respect to sales or shipments hereunder shall be added to such prices and paid by Buyer, unless a valid exemption certificate is furnished prior to shipment.

Shipping, Storage, and Risk of Loss: Shipping dates quoted for equipment and completion of service projects are approximate. Seller will use best efforts to ship equipment/complete service projects by the dates specified; however, Seller shall not be liable for any delay or failure in the estimated delivery or shipment or for any damages suffered by reason thereof. Unless otherwise stated, all shipments are made FOB Seller's facility. Claims for damaged or short merchandise shall be made to carrier. If delivery of Buyer's goods is delayed by Buyer, for any reason, Buyer shall bear all risk of loss and be liable to Seller for all reasonable expenses incurred by Seller incidental to such delay in shipment and storage of undelivered goods.

Buyer assumes all risk of loss or damage to any of Buyer's reused goods and components, which are damaged during any tests made by Seller or requested by Buyer. All test values and operating specifications shall be established by Seller, in its reasonable, but sole, discretion unless otherwise agreed in writing between Buyer and Seller.

Cancellations or Returns: Buyer's orders accepted by Seller may not be canceled, changed or returned without the prior express written consent of Seller and shall be subject to Buyer's payment of reasonable cancellation charges.

Warranty: Seller warrants the goods and services provided by Seller to be of the kind and quality described in this quotation, and free of parts or labor defects: (i) For a period of zero (0) days on repairs (ii) For a period of one year for new equipment.

Repairs and replacements shall be made FOB Seller's facility. Seller shall not be responsible for transportation, removal or re-installation unless provisioned for by a service contract. All warranty work shall be on single shift, straight time. If Buyer requests overtime work for warranty service, then Buyer agrees to pay for all such costs. Buyer also assumes all risk of loss or damage to any goods, property or persons, arising directly or indirectly from Buyer's operation of services goods beyond their operating specifications.

Seller also assigns to Buyer, without recourse to Seller, the original equipment manufacturer's warranties, if any. Buyer shall enforce all original manufacturers' warranties directly against the manufacturer and not against Seller.

EXCEPT THE ABOVE WARRANTIES, SELLER MAKES NO WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, BY OPERATION OF LAW OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY EXPRESS OR IMPLIED WARRANTY AS TO MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE OR WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

Indemnification: Buyer agrees to indemnify, defend and save the Seller harmless from any loss, damage, or liability, of any nature whatsoever, which arises directly or indirectly to Seller, its officers, directors, agents or subcontractors, as a result of Buyer's failure to comply, negligently or willfully, with any of the terms or provisions of this quotation, or any Credit Agreement enforced in connected with this quotation.

Force Majeure: Seller shall not be liable to Buyer or any third party, for failure to perform due to any cause beyond its reasonable control. Seller's performance shall be extended by the amount of time, and the contract price shall be increased in an amount reasonably necessary to overcome the delay and extra expense of such cause beyond Seller's reasonable control.

Governing Law: This agreement shall be construed according to and governed by the laws of the State of Florida.

Esesen Service Contract

  • Coverage includes all labor costs related to hardware with active Esesen service only, and is subject to the current travel costs per on-site visit and part(s) pickup. Labor for other services including, but not limited to, website design and maintenance, hardware upgrades, and manipulation of infrastructure will be billed at the rates set forth below at the discretion of Digital Pipe Inc.
  • Active Esesen services can be moved to replacement computers, but are subject to migration costs.
  • Purchased equipment becomes the customer's responsibility at the time of installation and will be covered under the manufacturer's warranty only. Rented equipment is maintained by Digital Pipe Inc as long as it's protected by a fully functional UPS via its battery backup outlets. Customer agrees to pay current value for all rented equipment that becomes damaged due to negligence, misuse, or not abiding by the previously mentioned protection guidelines.
  • Setup fees and equipment purchases are non-refundable and must be paid in full upon installation or by signed, written arrangement.
  • Third party charges including, but not limited to, replaced hardware, shipping, and support are the customer's responsibility.
  • Any disputes of billed charges by customer must be brought to the attention of Digital Pipe Inc within ninety (90) days of occurrence; otherwise the customer agrees to pay said charges in full.
  • Digital Pipe Inc shall be entitled to all costs of collection including reasonable attorney's fees in the event of litigation in connection with this contract or collection process by Digital Pipe Inc.
  • Unless canceled, the Esesen service will automatically renew at the end of the contract term. Annual subscribers will be charged 30 days prior to the expiration date of the existing service. Lapses between renewals are subject to various fees.
  • The undersigned agrees to the full terms and conditions of this agreement and represents that (s)he is older than eighteen (18) and has the authority to execute agreement for the customer.
  • Customer acknowledges that the coverage time listed below is for remote support and on-site work may be a smaller subset of stated time.
  • The duration of the contract begins on the date of the installation listed below.
  • All modifications below the terms and conditions will require the initials of both parties or replacement of this contract.
  • Customer agrees to additional and modified terms as set forth in the current version of this document throughout contract term.
  • Digital Pipe Inc reserves the right to 1) prioritize customer support requests, 2) cancel this contract at anytime without any prior notice to the customer, 3) charge outstanding balances to any credit card on file for the customer, 4) modify the terms and conditions of this contract at any time for any reason without any prior notice to the customer.

  • This contract can be canceled by the customer at anytime by submitting a signed, written request via signature-confirmed postal mail that specifies your account information along with the reason(s) for cancellation.
  • Cancellation of this contract for any reason by the customer will result in an immediate termination fee equal to 50% of the total sum of the remaining monthly charges specified in this agreement. The customer may also incur additional charges for work performed by Digital Pipe Inc in order to remove or stop canceled services.
  • Cancellations begin on the first day of the following month of receiving notice.
  • When available, all equipment using the Esesen service will be reverted to its pre-Esesen state upon cancellation or non-renewal expiration of this contract at the discretion of Digital Pipe Inc.
  • Rented equipment will be billed at full purchase price if not returned within 30 days of cancellation or non-renewal expiration, but can be purchased by the customer, at the discretion of Digital Pipe Inc, at a negotiated price within said time frame. Additionally, customer agrees that any credit card on file can be charged for non-returned equipment beyond the stated 30 days.
  • Customers may receive an invoice upon cancellation for services rendered when there sum, billed at current normal rates, exceeds the amount paid via the below contract rates. Analytical data generated by Esesen will additionally be billed at one (1) hour of current normal rate per submission.

What a Wierd Name

An organization's name should ideally and concisely convey what type of industry, services, or products it relates to or provides so that consumers can instantly know the relevance of your company toward their needs. Having said that, at first glance it may seem like our name doesn't relate to computers, electronics, or networking in any way, but the meaning behind it actually contains a very logical and meaningful relationship.

So, how did we come up with the name "Digital Pipe" and what is its signficance to the IT industry? To answer those questions, we'll have to go back to the mid-nineties when this company was first created. On March 4, 1996, paperwork was filed with the State of Florida to start a sole proprietorship under the name "P&D Computing" and on April 23, 1996, that request was granted. Over the next five years, the company would operate under that name and upon fulfilling all contracted obligations, the business was put on hold in order to start another business venture with contacts of the time. Ultimately, that company failed in less than a year, so in late 2002 it was decided to continue the original business having a clean start from everything prior. This time however, a better, more professional name was desired as this attempt was going to be long term.

During this time period, Internet access for residential and corporate use was growing at astounding rates throughout the U.S. and as a result, attempts at becoming a service provider for this access was desired. This was to be in addition to the services the company already provided in the past, computer repair and network administration. Now that the direction of the company was established, it was time to put together the start up costs. As with any small business, keeping those costs down is a high priority, so the reuse of any tools, clothing, branding, and other items was required. This placed a restriction on the new company name seeing as how all the prior branding included the characters "P" and "D". After reviewing several different words that describe what services the company would be offering, only two were able to relate among them all - digital encompasses the entire IT field while pipe is another term used to describe the connection between devices to communicate with one another. On January 1, 2005, the doors officially opened to the new business, Digital Pipe Incorporated.
