These terms and conditions apply to work performed by all Divisions and Subsidiaries of Digital Pipe Inc ("Seller"). If Buyer's order form is used for acceptance of this offer, it is expressly understood and agreed that the terms and conditions of such order form shall not apply unless agreed to in writing by the Seller. No additional or inconsistent terms will be binding upon seller unless agreed to in writing.
Quotations: Quotations expire thirty (30) days from quote date or by the term set by the manufacturer and are subject to cancellation or modifications by written notice within that period. Clerical, estimating or other errors are subject to correction at any time, by written notice to Buyer.
Prices and Terms of Payment: If shipment of goods to Seller or completion of service extends beyond ninety (90) days from the date of order due to causes beyond Seller's reasonable control, then the prices will be adjusted to those in effect at the time of such shipment or completion.
Payment is due in accordance with invoice terms. For partial shipments, pro-rata payments are due as partial shipments are made and invoices received. Under no circumstances, shall any invoice or percentage thereof be withheld as a retainer or other set-off against Buyer’s obligation to Seller, without Seller’s prior written consent. All past due payments are subject to a monthly service charge of the highest amount legally allowed in this State, but not to exceed 10% per month or a $29.00 fixed rate fee, and Buyer agrees to promptly pay said service charge. Buyer shall pay all collection costs including reasonable attorneys' fees.
If at any time, Seller believes payment is at risk due to Buyer's financial conditions then Seller may, suspend work on current orders, and/or withhold shipment of completed equipment, and require full payment of all amounts in arrears, plus full or partial payment in advance for work in process or as a condition to delivery. In the event of such suspension of work or withholding of shipment, Seller shall be held harmless from any and all losses, damages, expenses, fees, costs, fines, or penalties whatsoever which may result to any person or entity due to any delays and damages occasioned thereby. Seller shall retain a security interest in all equipment, parts, and accessories until all services and other charges due Seller are fully paid for by Buyer.
Taxes: Quoted prices exclude Sales, Use, or other taxes or charges payable to any governmental authority. Any tax or other charge now or hereafter imposed with respect to sales or shipments hereunder shall be added to such prices and paid by Buyer, unless a valid exemption certificate is furnished prior to shipment.
Shipping, Storage, and Risk of Loss: Shipping dates quoted for equipment and completion of service projects are approximate. Seller will use best efforts to ship equipment/complete service projects by the dates specified; however, Seller shall not be liable for any delay or failure in the estimated delivery or shipment or for any damages suffered by reason thereof. Unless otherwise stated, all shipments are made FOB Seller's facility. Claims for damaged or short merchandise shall be made to carrier. If delivery of Buyer's goods is delayed by Buyer, for any reason, Buyer shall bear all risk of loss and be liable to Seller for all reasonable expenses incurred by Seller incidental to such delay in shipment and storage of undelivered goods. Buyer assumes all risk of loss or damage to any of Buyer's reused goods and components, which are damaged during any tests

All test values and operating specifications shall be established by Seller, in its reasonable, but sole, discretion unless otherwise agreed in writing between Buyer and Seller.
Cancellations or Returns: Buyer's orders accepted by Seller may not be canceled, changed or returned without the prior express written consent of Seller and shall be subject to Buyer's payment of reasonable cancellation charges.
Warranty: Seller warrants the goods and services provided by Seller to be of the kind and quality described in this quotation, and free of parts or labor defects: (i) For a period of zero (0) days on repairs (ii) For a period of one year for new equipment.
Repairs and replacements shall be made FOB Seller's facility. Seller shall not be responsible for transportation, removal or re-installation unless provisioned for by a service contract. All warranty work shall be on single shift, straight time. If Buyer requests overtime work for warranty service, then Buyer agrees to pay for all such costs. Buyer also assumes all risk of loss or damage to any goods, property or persons, arising directly or indirectly from Buyer's operation of services goods beyond their operating specifications.
Seller also assigns to Buyer, without recourse to Seller, the original equipment manufacturer's warranties, if any. Buyer shall enforce all original manufacturers' warranties directly against the manufacturer and not against Seller.
EXCEPT THE ABOVE WARRANTIES, SELLER MAKES NO WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, BY OPERATION OF LAW OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY EXPRESS OR IMPLIED WARRANTY AS TO MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE OR WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
Indemnification: Buyer agrees to indemnify, defend and save the Seller harmless from any loss, damage, or liability, of any nature whatsoever, which arises directly or indirectly to Seller, its officers, directors, agents or subcontractors, as a result of Buyer's failure to comply, negligently or willfully, with any of the terms or provisions of this quotation, or any Credit Agreement enforced in connected with this quotation.
Force Majeure: Seller shall not be liable to Buyer or any third party, for failure to perform due to any cause beyond its reasonable control. Seller's performance shall be extended by the amount of time, and the contract price shall be increased in an amount reasonably necessary to overcome the delay and extra expense of such cause beyond Seller's reasonable control.
Governing Law: This agreement shall be construed according to and governed by the laws of the State of Florida.

Overview: The below is the "open business model" of Digital Pipe Inc. Our goal is to unlease the creativeness of the people in order to design a business model that will cause an organization to operate at maximum efficiency at all times. The below outline defines an overall framework that's general enough to suite all business models with as much efficency as presently possible. We welcome input.
Departments: Overall shape-of-model consists of a rectangle with its longest side running horiztonally. This allows for efficient organizational expansion (horizontal) of employees while preserving the income expansion vertically, thus creating the desire for advancement. The horizontal axis grows when an additional department is required which should consist of specific related tasks (e.g.IT, HR, sales, etc). By contrast, the vertical axis should always start with one chief at the top and expand downwards by no more than 5 levels with the bottom-most level always being the "labor pool". This reduces miscommunication between the order-of-execution (chief) and the end result (laborer). Each increasing level should have one representative over a larger area's "supervising pool" (e.g. supervisor). This design creates a major advantage in the job market by "industrializing" the workplace, and in essence, becoming a general specification for each business no matter their field or industry.
Levels: The total income earnings of the top-most position should never exceed 10% above all bottom-most positions with each vertical level inbetween receiving equally stepped pay increases. This creates pay increases which are both undisputable and easily understood. Each worker of each respective level should be considered the peer of every other, only those in a higher level should be considered a "superior".
Advancement: Latteral movement within a department or between departments is considered advancement and should receive additional responsibility and compensation. In order to advance between levels, each candidate should have gone through every position within each levels' departments (within the workers abilities and education for those positions that aren't) to produce a knowledgable, experienced leader for those working under them as well as those they must support (e.g. end users). So as workers climb, they can truly understand how and why the business works and will be the most applicable person for the job. The increase in latteral pay advancements should be comprised of equally stepped increases by how many positions a person must fill before becoming applicable for level advancement.
Representatives: Typically small businesses try to find ways to compete against their larger counterparts. One area where these entities excel, is in personal attention to customers; usually with a set representative per account. Unfortunately, as organizations grow, this level of service usually disappears due to the use of a traditional business model. Our business model, however, retains that attention level to customers while increasing your employees overall knowledge of the company by assiging each employee within a department to another employee residing in every other department of the company. This creates a team within the company that consumes all the departments allowing any client question to be answered. That way the customer always has a single representative to call for all support and in instances where that representative is unable to answer the question, their assigned representative can contact a team member within the department that can answer the question for a group conversation. Again, this increases each employee's knowledge and prevents finger pointing which causes the client to get frustrated and leave unhappily.
Business Model: New times call for new models of how business can be conducted due to the onset of new technologies. This doesn't mean that the fundamental principles of business have changed, just the methods of execution. Currently, developed nations still seem to be using models that our technology has made obsolete decades ago. For example, the most commonly used form of technology, known as the Internet, has made access to information available through many different locations and devices, however, the vast majority of organizations still require employees to drive to an office building for work everyday. While this was the most efficient way of running a business in the past, it's very in-efficient today in multiple ways based on technology currently available. This waste can been seen in forms ranging from time to money and directly affects both employees and the organization itself.
Working from Home: Most companies institute policies in the workplace for certain reasons, however some staff members are forced to adhere even though they're not applicable, but just because they have to work in an office environment. One such policy pertains to attire worn while working. This process usually involves adding more than 30 minutes to everyone's morning schedule even though they'll never interact face-to-face with customers or business related contacts. Another policy that's typical is to have all the employees work together within an office building. While some staff members will have to work in some type of office environment due to required hands-on work, certain categories of employees can successfully work from home.
